Terms of service

These terms cover the use of Vanari. They apply to a business that runs hotspots with our software, to a reseller who sells that business's vouchers, and to a customer who buys one.
What we provide, and what we do not
Vanari is billing and management software for hotspot businesses. We authenticate vouchers, record usage, and keep the accounts. We do not provide internet access. The connection, the router, and the quality of the service at any site belong to the business running that site.
This distinction is not a disclaimer for its own sake. If a hotspot is slow or down, the business is the only party who can do anything about it, and directing the question at us costs the customer time.
Vouchers
- A voucher is a bearer credential. Whoever has the code can use it, so treat it like cash.
- A voucher is bought for a specific plan and is valid for the time, data, and device limit of that plan.
- An unused voucher expires after the shelf life the business sets. A voucher in use expires when its plan is exhausted, whichever limit is reached first.
- We cannot recover a lost or shared code. There is nothing to recover it from: the code is the credential.
Reseller wallets
- A reseller pays into a wallet and draws on it to generate vouchers. The balance is credit towards vouchers, not money on deposit, and it is not transferable between businesses.
- Every movement is recorded in a ledger that cannot be edited. A correction is a new entry that reverses an old one, and both remain visible.
- A wallet can be frozen by the business, which stops new vouchers being generated. Vouchers already issued keep working.
- What a reseller charges a customer is the reseller's own decision. The suggested price shown in the console is guidance and nothing more.
How customer payments reach a business
There are two arrangements and which one applies decides who is holding a customer's money at any moment. It is set per business and neither is a default.
- We collect and pass it on. A customer's payment reaches our payment account, we keep an agreed share of it, and we owe the business the rest until we settle it. We are in the payment path, so we can refund a customer directly.
- The business collects it themselves. A customer's payment reaches the business's own payment account and never touches ours. We take no share of it and hold none of it, so we cannot refund it: only the business can. They pay us a subscription instead.
A customer can tell which applies from the name on the charge. Our refund policy says what each one means for them.
Business subscriptions
- Subscriptions are billed monthly or yearly in advance and can be cancelled at any time. Cancellation takes effect at the end of the period already paid for; there is no notice period and no refund of the part already used.
- Prices are in Nigerian naira and exclude any tax that applies. The price agreed when a subscription starts is the price charged for it, whatever the published price does afterwards.
- If a renewal payment fails, nothing stops immediately. We retry the card over the following two weeks and tell the business each time. If it has still not been paid at the end of that period, new vouchers cannot be issued and customers cannot buy at that business's hotspots. Vouchers already sold keep working throughout and are never cut off for an unpaid subscription. Paying restores everything with no further step.
- On cancellation the service stops at the end of the paid period. Vouchers already issued keep working until the end of that period.
- A business may export their own data at any time while the account is active, and we will provide an export on request for 30 days after it closes.
Acceptable use
An account may not be used to:
- Provide a public network without whatever licence or registration Nigerian law requires for it.
- Intercept, alter, or inspect the traffic of the people using a hotspot beyond what is needed to operate and secure it.
- Resell access to the software itself to a third party without our agreement.
- Attempt to reach another business's data. Businesses are isolated from each other, and an attempt to get past that is grounds for immediate suspension.
Availability
We aim to keep the service running continuously and we do not promise that it always will. Two things are worth knowing about how it behaves when it does not.
- A customer already online stays online. Their session is enforced by the router itself and does not depend on us.
- Sites holding pre-pushed vouchers keep letting new customers online while disconnected from us. Their usage is reconciled when the connection returns, so figures for an offline period are shown as provisional until then.
What an outage does stop is new vouchers being generated centrally and new purchases being made on the payment page.
Suspension
We may suspend an account for non-payment, for a breach of these terms, or where we are legally required to. Where we are permitted to say why, we will. Where we are not, we will say that a reason exists and that we cannot disclose it, rather than inventing one.
Liability
Our liability to a business is limited to the subscription fees paid in the twelve months before the claim. We are not liable for loss of profit or for the acts of a business towards their own customers. Nothing here limits liability that Nigerian law does not permit us to limit.
Changes
We will give 30 days' notice by email before a change to these terms that materially affects a business. Continuing to use the service after that means accepting the change.
Governing law
These terms are governed by the laws of the Federal Republic of Nigeria.
